Custom Branding Terms and Conditions
1. Scope. These terms and conditions (collectively, the “Custom Branding Agreement”) are entered into by and between you and Get Sojo, Inc., a Delaware corporation (“Sojo”). This Custom Branding Agreement applies to and governs any and all custom services and related purchases from the Sojo online platform for the curation and supply of products in connection with your provision of property management services (the “Platform”). Except for as described herein, the standard terms & conditions (the “Agreement”) remain in full force and effect.
2. Term and Termination. This Custom Branding Agreement will begin on the date of your recorded acceptance hereto (the “Effective Date”) and shall continue for a period of twelve (12) months (the “Initial Term”). Thereafter, this Custom Branding Agreement will automatically renew for successive one (1) year terms (each, a “Renewal Term”) unless either party provides at least six (6) months’ prior written notice of non-renewal to Sojo. No relationship of exclusivity shall be construed from this Custom Branding Agreement. If you fail to make payments when due under this Custom Branding Agreement, and such non-payment continues for a period of ten (10) days following notice, Sojo may terminate this Custom Branding Agreement immediately and shall have no further obligation to you. Upon termination of this Custom Branding Agreement, any amounts due to Sojo will be immediately due and payable. If you elect to terminate this Custom Branding Agreement and Sojo still holds inventory of your custom branded product, you agree to purchase the product from Sojo at the agreed upon prices.
3. Minimum Purchase Commitment. You acknowledge that goods procured by Sojo for the performance of the services requested by you will be procured at your behest, are not marketable to other customers, and cannot be used by Sojo for the provision of services to any other customers. In consideration for Sojo’s initial and ongoing expenses relating to the establishment and maintenance of the services, you agree to the minimum purchase commitment representing approximately six (6) months’ worth of product. If you request revisions to custom branded artwork you agree to pay for the new tooling required to produce the revised artwork. If you elect to discontinue ordering certain components or prior versions of your custom branded products, and Sojo still holds inventory of your prior version custom branded product these products, you agree to purchase the remaining prior version custom product inventory from Sojo at the agreed upon prices.
