Customization Terms & Conditions

1. Scope. 

These terms and conditions (collectively, the “Customization Agreement”) are entered into by and between you and Get Sojo, Inc., a Delaware corporation (“Sojo”). This Customization Agreement applies to and governs any and all custom services and related purchases from the Sojo online platform for the curation and supply of products in connection with your provision of property management services (the “Platform”). This Customization Agreement is effective upon, and its effectiveness is evidenced by, your most recent signing of Sojo dielines for your custom-branded product. Except as expressly set forth in this Customization Agreement, the standard terms and conditions applicable to your use of the Platform (the “Standard Terms”) remain in full force and effect. In the event of any conflict or inconsistency between this Customization Agreement and the Standard Terms, this Customization Agreement shall control solely with respect to custom services and related purchases.

2. Term and Termination.

This Customization Agreement begins on the date on which you sign Sojo dielines for your custom-branded product (the “Customization Effective Date”) and shall continue for a period of twelve (12) months (the “Customization Initial Term”). Thereafter, this Customization Agreement will automatically renew for successive one (1) year terms (each, a “Customization Renewal Term”) unless either party provides at least six (6) months’ prior written notice of non-renewal to Sojo. Each time you sign new or revised dielines, the Customization Effective Date shall automatically reset to the date of your most recently signed dielines, and a new Customization Initial Term of twelve (12) months shall begin as of that date, superseding any Customization Initial Term or Customization Renewal Term then in effect. No relationship of exclusivity shall be construed from this Customization Agreement. If you fail to make payments when due under this Customization Agreement, and such non-payment continues for a period of ten (10) days following notice, Sojo may terminate this Customization Agreement immediately and shall have no further obligation to you. Upon termination of this Customization Agreement, any amounts due to Sojo will be immediately due and payable. If you elect to terminate this Customization Agreement and Sojo still holds inventory of your custom branded product after the termination date, you agree to purchase any and all remaining product from Sojo at the agreed upon prices.

3. Inventory And Supply Chain Management.

You acknowledge that goods procured by Sojo for the performance of the services requested by you will be procured at your behest, are not marketable to other customers, and cannot be used by Sojo for the provision of services to any other customers. If you elect to discontinue ordering certain components or prior versions of your custom branded products, and Sojo still holds inventory of these products, you agree to purchase the remaining inventory from Sojo at the agreed upon prices.
